Licensing is often treated as the slower path to market. Structured properly, it is usually the faster one.

The instinct of most research institutions is to commercialize directly. It feels like the route that retains the most value. In practice it is usually the route that retains the most risk.
A licensing structure transfers the market-facing burden — regulatory approval, distribution, support, working capital — to a partner who already carries it for adjacent products. What the originator gives up in headline margin, they recover in speed and in not building an operation they have no intention of running.
What licensing actually shortens
- Regulatory approval, where the licensee already holds the relevant certifications
- Distribution, where a channel exists rather than needing to be built
- Manufacturing scale-up, where capacity is already installed
- Market credibility, where the licensee’s name carries in a market yours does not
Where it goes wrong
Badly structured licences fail in predictable ways: territory definitions that overlap, milestones with no teeth, and royalty models that stop making sense once volume arrives. Each is avoidable at the term-sheet stage and expensive afterwards.
- Exclusivity granted without performance milestones to reclaim it
- Field-of-use definitions too broad to enforce and too narrow to be useful
- No provision for improvements made by either party after signature
- Royalty structures that make the licensee’s success unprofitable for them
The structure that tends to work
Field-limited, territory-limited exclusivity with staged milestones, a royalty that scales with volume rather than against it, and a joint improvement clause. It is less elegant than a single global licence and considerably more durable.
